Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Defrag application, website at defrag.day, and related services (collectively, the "Service"), operated by Defrag ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are between 13 and 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf.

2. Account Registration

You must create an account to access most features of the Service. You agree to provide accurate and current information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You may not share your account with others or create accounts on behalf of third parties without authorization. Notify us immediately at support@defrag.day if you suspect unauthorized access to your account.

3. Subscriptions and Payments

Free Tier

The Service includes a free tier with limited features (up to 10 tasks per day, 1 project area, web app only). No credit card is required to use the free tier.

Paid Plans

We offer the following paid subscription plans:

  • Pro — $5.83/month billed annually ($69.99/year) or $7.99/month billed monthly. Includes unlimited tasks and projects, all platforms, Focus Mode, smart reminders, and priority support.
  • Family — $9.99/month billed annually ($119.99/year) or $14.99/month billed monthly. Includes everything in Pro, up to 5 family members, and shared household projects.

Prices are in US dollars and are subject to change with 30 days' notice.

Billing and Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis. All payments are processed by Stripe.

Cancellation

You may cancel your subscription at any time from your account settings at app.defrag.day/billing. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not offer partial-period refunds.

Refunds

All purchases are final. If you believe you were charged in error, contact us within 14 days at support@defrag.day and we will review your case. We reserve the right to issue refunds at our discretion.

Free Trials

We may offer free trials of paid plans from time to time. If a trial is offered, the terms will be disclosed at signup. After the trial ends, your payment method will be charged the applicable subscription rate unless you cancel before the trial expires.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to transmit spam, malware, or harmful content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit content that is unlawful, defamatory, obscene, or that infringes third-party rights
  • Circumvent any access controls, rate limits, or security measures
  • Resell, sublicense, or commercially exploit the Service without our written permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. User Content

You retain ownership of all content you create within the Service (fragments, journal entries, mood logs, etc.). By storing content in the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display that content solely to provide the Service to you.

We do not claim ownership of your content, use it for advertising, or share it with third parties except as described in our Privacy Policy.

You are responsible for ensuring that the content you enter does not violate any third-party rights or applicable laws.

6. Intellectual Property

The Service, including its design, features, software, text, graphics, and logos, is owned by Defrag and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights in the Service's intellectual property beyond the limited license to use the Service as described herein.

The "Defrag" name and logo are trademarks of Defrag. You may not use our trademarks without prior written permission.

7. Third-Party Services

The Service integrates with third-party services including Apple, Google, Supabase, Stripe, Twilio, Resend, and Sentry. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

Links to third-party websites or services do not constitute endorsement of those services.

8. Not Medical Advice

Defrag is a productivity and life organization tool. It is not a medical device, clinical service, or substitute for professional medical advice, diagnosis, or treatment. Nothing in the Service should be interpreted as medical advice or as a recommendation for any particular course of treatment.

Always seek the advice of a qualified healthcare professional regarding ADHD or any other medical condition. Never disregard professional medical advice or delay seeking it because of something you read or experienced in the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any loss of data, productivity, or other harm resulting from your use of or inability to use the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEFRAG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Defrag and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by deleting it from within the app or by contacting us.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and governing law) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Defrag is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding individual arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement claims.

You and Defrag agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes your acceptance of the new Terms.
